Terms and Conditions

Important: These terms are a working draft and have not yet been reviewed by a qualified lawyer. They must be reviewed by legal counsel before being relied upon in a production environment. By using MyVSSL you agree to be bound by the version of these terms published at the time of your use.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the MyVSSL platform, including the web application available at app.myvssl.com and related services (collectively, the "Platform"), operated by MyVSSL Pty Ltd ("MyVSSL", "we", "us", or "our").

By registering for an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. "You" refers to both the individual user and any organisation you represent.

2. Description of Service

MyVSSL is a business-to-business-to-consumer (B2B2C) marine services marketplace that connects vessel owners with marine service providers. The Platform provides:

  • Vessel profile management (components, photos, service history)
  • Marketplace discovery and booking of marine service providers
  • Quote, job, and invoice workflow management for marine businesses
  • Client and vessel management for professional organisations
  • Team and role management with role-based access controls
  • Integration with payment processing and accounting services via authorised third-party providers

MyVSSL reserves the right to modify, suspend, or discontinue any part of the Platform at any time, with reasonable notice where practicable.

3. Accounts and Registration

You must create an account to use the Platform. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@myvssl.com if you suspect any unauthorised access.

You must be at least 18 years of age to create an account. Accounts are personal and non-transferable unless you are an organisation account holder managing authorised team members.

4. User Roles and Organisations

Vessel owners (B2C)

Individual users may add and manage their own vessels, view service history, request quotes, and interact with marine professionals through the marketplace.

Marine professionals and organisations (B2B)

Business users may register an organisation and invite team members with role-based access (admin, manager, technician, contractor, viewer). Organisations may manage client vessels, run job workflows, issue quotes and invoices, and accept payments through integrated payment processing.

The organisation admin is responsible for ensuring all team members comply with these Terms. Access permissions granted to team members are the responsibility of the organisation admin.

Platform administrators

MyVSSL staff may have administrative access for support, moderation, and platform management purposes.

5. Acceptable Use

You agree not to use the Platform to:

  • Engage in any unlawful, fraudulent, or deceptive activity
  • Upload, transmit, or distribute malicious software or harmful content
  • Attempt to gain unauthorised access to any part of the Platform or any other user's data
  • Circumvent or disable any security feature or access control
  • Scrape, harvest, or systematically extract data from the Platform without written permission
  • Impersonate any person, organisation, or entity
  • Use the Platform to facilitate any activity that violates any applicable law or regulation
  • Engage in conduct that could damage the reputation or commercial interests of MyVSSL
  • Use the payment features for purposes not directly related to legitimate marine services transactions

MyVSSL may suspend or terminate accounts that violate these obligations, and may report unlawful activity to relevant authorities.

6. Payment Services (Airwallex)

Payment processing provider

Payment processing on the Platform is facilitated by Airwallex Pty Ltd and its related entities ("Airwallex"). When you enable invoicing or payments within the Platform, you are entering into a direct agreement with Airwallex and are subject to Airwallex's terms of service, including:

Data sharing with Airwallex

To enable payment processing, MyVSSL shares certain data with Airwallex, including but not limited to invoice details, transaction amounts, business and client details, and account identifiers. By enabling payment features you consent to this data transfer.

You acknowledge that:

  • Payment services are provided by Airwallex, not by MyVSSL
  • Instructions authorised through the Platform (such as creating payment orders) are treated as your direct instructions to Airwallex
  • Airwallex may have independent data retention and usage policies for your account and transaction data
  • MyVSSL is not liable for any failure, delay, or error in payment processing by Airwallex

Fees and charges

Payment processing fees are charged by Airwallex in accordance with their fee schedule. MyVSSL may also apply platform service fees, which will be disclosed at the time of any such charge.

7. Accounting Integration (MYOB)

Optional accounting integration

The Platform may offer optional integration with MYOB accounting software (including MYOB Business and MYOB AccountRight) via the MYOB Developer API ("MYOB Integration"). This integration is optional and must be explicitly authorised by you.

Third-party data access disclosure

In accordance with MYOB Developer Program requirements, you are advised that:

  • Enabling the MYOB Integration authorises MyVSSL to read from and write to your MYOB account data using the scopes you approve during the OAuth authorisation flow
  • Data accessed may include invoices, contacts, accounts, and related business records
  • This access has a justifiable business need: to synchronise invoices and client records between MyVSSL and your MYOB account, eliminating manual double-entry
  • Third-party service providers used by MyVSSL to operate the Platform (such as Firebase/Google Cloud for infrastructure) may have indirect access to data stored on the Platform in accordance with our Privacy Policy
  • You may revoke MyVSSL's access to your MYOB account at any time via your MYOB account settings

MYOB terms

Use of the MYOB Integration is also subject to MYOB's own terms and conditions. You are responsible for ensuring your use of MYOB complies with MYOB's Developer Program Terms.

8. Third-Party Services

The Platform integrates with third-party services to deliver its features. These currently include (but are not limited to):

  • Google Firebase / Google Cloud - authentication, database, file storage, and hosting infrastructure
  • Airwallex - payment processing (see Section 6)
  • MYOB - accounting integration (see Section 7)
  • Brevo (formerly Sendinblue) - transactional email delivery

Your use of features relying on these services is also subject to the terms of those providers. MyVSSL is not responsible for the availability, accuracy, or security practices of third-party services beyond our reasonable control.

9. Data and Privacy

Privacy Policy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and share your personal information.

Your data

You retain ownership of all data you upload or create on the Platform ("Your Data"). You grant MyVSSL a limited, non-exclusive licence to store, process, and display Your Data solely for the purpose of providing and improving the Platform.

Data isolation and tenancy

Organisation data is isolated per tenant. MyVSSL implements role-based access controls so that team members only access data permitted by their assigned role. Vessel owner data is not accessible to marine professional organisations unless you have explicitly shared or connected with that organisation.

Data retention and deletion

On account closure, your data will be retained for a minimum period required by applicable law or for legitimate business purposes (such as tax record-keeping), after which it will be deleted or anonymised in accordance with our Privacy Policy. You may request deletion of personal data subject to legal obligations.

Australian Privacy Act

MyVSSL complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Where personal information is transferred internationally (for example, to cloud infrastructure providers), we take reasonable steps to ensure it receives equivalent protection.

10. Security Obligations

MyVSSL implements security measures aligned to industry standards, including:

  • TLS 1.2 or higher for all data in transit
  • Encryption at rest for sensitive data repositories
  • Multi-factor authentication (MFA) available and recommended for all accounts
  • OAuth 2.0 with encrypted token storage for third-party API integrations
  • Audit logging of access and key events, retained for a minimum of twelve months
  • Secure code development practices aligned to OWASP Top 10

You are responsible for maintaining the security of your own account credentials and devices. You must enable MFA where available. You must notify us promptly if you become aware of any security breach affecting your account.

In the event of a data breach affecting your personal information, we will notify you in accordance with the requirements of the Privacy Act 1988 (Cth) and the Notifiable Data Breaches scheme.

11. Intellectual Property

All intellectual property rights in the Platform, including its software, design, content, trademarks, and documentation, are owned by or licensed to MyVSSL. Nothing in these Terms transfers any such rights to you.

You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Platform without our prior written consent.

You retain all intellectual property rights in Your Data. By uploading content to the Platform, you represent that you have the rights to do so and that doing so does not infringe any third-party rights.

12. Limitation of Liability

To the maximum extent permitted by law:

  • The Platform is provided "as is" without warranties of any kind, express or implied
  • MyVSSL does not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities
  • MyVSSL is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages
  • MyVSSL's total aggregate liability to you for any claim arising from or related to these Terms or your use of the Platform is limited to the greater of: (a) the total fees paid by you to MyVSSL in the 12 months preceding the event giving rise to the claim, or (b) AUD $100
  • MyVSSL is not responsible for the acts or omissions of third-party service providers, including Airwallex or MYOB

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or any consumer guarantees under the Australian Consumer Law.

13. Indemnity

You agree to indemnify and hold harmless MyVSSL and its officers, directors, employees, and agents against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms
  • Your violation of any applicable law or third-party rights
  • Your Data or content uploaded to the Platform
  • Your use of payment or accounting integration features in breach of Airwallex's or MYOB's terms
  • Unauthorised access to or use of the Platform by persons using your account credentials

14. Termination and Suspension

You may close your account at any time by contacting us at legal@myvssl.com. You remain responsible for any activity on your account prior to closure.

MyVSSL may suspend or terminate your access to the Platform immediately and without prior notice if:

  • You breach these Terms in a material way
  • We are required to do so by law or by a third-party provider (including Airwallex or MYOB)
  • We reasonably suspect fraud, illegal activity, or a security risk
  • We discontinue the Platform or any part of it

Sections relating to intellectual property, limitation of liability, indemnity, and governing law survive termination.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the "Last updated" date. Where reasonably practicable, we will provide notice of material changes (for example, by email or in-app notification) at least 14 days before the changes take effect.

Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform before the effective date.

16. Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales for the resolution of any dispute arising from these Terms or your use of the Platform.
